Aims

The course aims to provide learners with a sound foundation in the legal framework of incorporating, maintaining and dissolving a company in Hong Kong. It focuses on the application of relevant theories to secretarial practices and compliance faced by a company secretary in the commercial field or by a company secretarial firm. The course also provides students with a general understanding of employment law and labour-related legislation in Hong Kong.

Contents

The course covers the following topics:

  • Formation of Hong Kong companies and registration of non-Hong Kong companies
  • Company directors, company secretaries, auditors and company meetings
  • Equity and debt financing, registration of charges and disclosure of financial and price-sensitive information and interest in shares and debentures
  • Capital reconstruction, schemes of arrangement, takeovers and mergers, receivership and dissolution of companies
  • Obligations of employers and employees under common law, Employment Ordinance and Minimum Wage Ordinance
  • Equal opportunities and protection of personal data legislation
  • Termination of employment and employment protection
  • Application of the principles of boardroom dynamics in enhancing board performance

Learning support

There will be ten two-hour online lectures, and two six-hour compulsory face-to-face day schools.

The dates for the compulsory face-to-face day schools are as follows:

Assessment

There are two individual assignments and one examination. Assignments should be prepared with Microsoft Word, and submitted to Turnitin for plagiarism checking via the Online Learning Environment (OLE).

Equipment

Students will need access to a personal computer with an Internet connection.
